GuardOpinion is operated by GUARDOPINION LTD, a company registered in England and Wales (Company No. 17170105), with its registered office at 66 Paul Street, London, England, EC2A 4NA, United Kingdom. These Terms and Conditions (the “Terms”) govern your access to and use of the GuardOpinion website, applications, dashboards, review tools, business services, communications, and related features (together, the “Platform”). By creating an account, submitting content, claiming a business profile, subscribing to a paid plan, or otherwise using the Platform, you agree to be bound by these Terms.

1. Acceptance, Contracting Entity, and Incorporated Policies

These Terms are a legally binding agreement between you and GUARDOPINION LTD. If you use the Platform on behalf of a company, organisation, partnership, sole trader, or other legal entity, you confirm that you have authority to bind that entity, and “you” includes both you personally and that entity.

Our Privacy Policy, Cookie Policy, Guidelines for Reviewers, and any plan-specific checkout or order terms shown to business customers are incorporated by reference. If a more specific order term conflicts with these Terms, that order term applies only to the paid service it describes.

2. Changes to These Terms

We may update these Terms to reflect changes in law, product functionality, security requirements, moderation standards, operational practice, or commercial terms. The current version is the version published on the Platform.

Where a change materially affects registered users or paying business customers, we will take reasonable steps to notify affected users, such as by email, dashboard notice, or in-product message. Continued use after the effective date means acceptance of the revised Terms.

3. Eligibility and Authority

You must be at least 16 years old to create an account, submit reviews, claim a business profile, or use interactive features. By using those features, you represent that you meet this requirement.

You may not use the Platform if prohibited by applicable law, if your access has been suspended for serious breach, or if you are attempting to bypass account, moderation, or security restrictions. Business users represent that they have authority to act for the business they manage.

4. Account Registration, Security, and Verification

You must provide accurate, current, and complete information when creating an account, claiming a profile, subscribing to a service, or communicating with us. You must keep that information up to date.

You are responsible for safeguarding login credentials and for all activity under your account. You must notify [email protected] immediately if you suspect unauthorised access, credential compromise, or misuse.

We may require identity, business, ownership, payment, or security verification before enabling features, restoring access, changing account ownership, or approving a business claim.

5. Nature and Role of the Platform

GuardOpinion is an online review and business reputation platform. We provide tools for consumers to publish feedback and for businesses to view, respond to, manage, and analyse that feedback.

We are not a party to transactions between consumers and businesses reviewed on the Platform. Reviews, ratings, replies, public profile information, and business-provided materials are user-generated or business-provided information unless expressly stated otherwise.

Platform information is provided for transparency and general informational purposes only. It is not legal, financial, professional, or purchasing advice, and users remain responsible for making their own decisions.

6. Reviews, Ratings, Complaints, and User Content

The Platform may allow you to submit reviews, ratings, comments, complaints, replies, messages, images, documents, evidence, profile data, and other materials (“User Content”). You are responsible for the accuracy, lawfulness, and appropriateness of your User Content.

By submitting User Content, you confirm that it reflects a genuine experience or legitimate interaction, that you have not been improperly paid or incentivised to manipulate a rating, and that you have all rights needed to submit any supporting material.

User Content must be factual, fair, specific, and respectful. It must not include confidential information, private personal data of third parties, threats, harassment, hate speech, defamation, spam, malware, or content that infringes legal rights.

7. Ownership of User Content and Licence to GuardOpinion

You retain the intellectual property rights you own in your User Content. We do not claim authorship of your words.

By submitting or publishing User Content, you grant GUARDOPINION LTD a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, display, publish, translate, adapt, moderate, excerpt, distribute, promote, and otherwise use that User Content to operate, improve, protect, and market the Platform and related services.

This licence continues while the content remains published and for as long as reasonably necessary for legal, audit, security, backup, dispute, enforcement, or legitimate business purposes. We will not sell your individual User Content as a standalone product to third parties.

8. Business Profiles and Business Users

Business profiles may contain information supplied by businesses, users, publicly available sources, or data providers. Claimed business users are responsible for keeping business information accurate, lawful, up to date, and not misleading.

You may claim or manage a business profile only if you have proper authority. You must not impersonate a business, misrepresent your relationship with a business, or use the Platform to mislead consumers.

Business replies and communications must be professional, relevant, and lawful. Businesses may not threaten reviewers, disclose private data, pressure users to alter honest feedback, or attempt to manipulate ratings, rankings, or review visibility.

9. Paid Business Services, Plans, Billing, and Taxes

Some business features may be offered under free or paid plans. Features, limits, prices, renewal periods, billing frequency, payment methods, and plan restrictions are displayed at checkout, in the dashboard, or in applicable order terms.

By subscribing to a paid plan, you authorise us and our payment processors to charge recurring fees, applicable taxes, and any agreed add-on or usage-based charges using the payment method provided. You must keep payment details valid and authorised.

Unless stated otherwise, subscriptions renew automatically until cancelled. We may update prices, plan features, or billing terms with reasonable notice. If you do not accept a material paid-plan change, your remedy is to cancel before it takes effect.

10. Cancellation, Downgrades, and Refunds

You may cancel or downgrade a paid business subscription through your dashboard or by contacting support where dashboard cancellation is unavailable. Cancellation usually takes effect at the end of the current billing period.

We do not provide refunds for periods already started, partially used services, unused plan limits, or failure to use purchased features, except where required by law or where we determine that an exceptional unresolved technical failure attributable to GuardOpinion justifies a refund.

After cancellation or downgrade, access to paid features, analytics, exports, automation, enhanced tools, or historical data may be reduced or removed. You are responsible for exporting available data you need before access changes.

11. Prohibited Conduct

You must not misuse the Platform or interfere with its integrity, security, reputation, or lawful operation. Prohibited conduct includes:

  • Submitting false, misleading, copied, defamatory, or improperly incentivised reviews.
  • Creating multiple accounts, coordinated campaigns, bots, or artificial activity to manipulate ratings, rankings, reports, complaints, or visibility.
  • Reviewing a business where you have an undisclosed financial interest, employment relationship, competitive relationship, or other material conflict of interest.
  • Scraping, crawling, harvesting, reverse engineering, or extracting Platform data without written consent, except where restriction is not permitted by law.
  • Uploading malware, attempting unauthorised access, bypassing technical limits, testing vulnerabilities without permission, or disrupting the Platform.
  • Using the Platform for unlawful, fraudulent, abusive, discriminatory, harassing, threatening, or spam-related purposes.
  • Misusing reporting, appeals, support, messaging, or complaint tools to harass others or overload operational processes.

12. Moderation, Verification, and Enforcement

We may review, verify, label, restrict, decline, remove, edit for formatting, or reduce visibility of content where we reasonably believe it breaches these Terms, our policies, applicable law, or platform integrity standards.

Moderation decisions may consider automated systems, manual review, user reports, evidence, behavioural signals, account history, legal requests, business documentation, and other relevant information. We are not required to publish every submission or keep content online indefinitely.

Where appropriate, we may provide reasons and allow an appeal. We may also suspend features, require verification, restrict accounts, remove access, or take other reasonable steps to protect users, businesses, the public, and the Platform.

13. Reports, Legal Notices, and Cooperation with Authorities

If you believe content is unlawful, infringes your rights, contains private information, or violates our policies, you may report it through the Platform or contact [email protected] with enough detail for us to assess it.

We may ask for evidence, identity or authority verification, links to the relevant content, and a clear explanation of the legal or policy basis for the request. Submitting a report does not guarantee removal.

We may preserve records, restrict content, disclose information, or cooperate with regulators, courts, law enforcement, or rights holders where required or permitted by law.

14. Intellectual Property and Platform Rights

The Platform, including software, design, trademarks, logos, databases, ranking systems, interfaces, text, graphics, and the compilation of content, is owned by GUARDOPINION LTD or its licensors and is protected by intellectual property and other laws.

These Terms do not transfer ownership of the Platform or our intellectual property to you. You receive only a limited, revocable, non-exclusive, non-transferable right to use the Platform in accordance with these Terms.

You must not copy, frame, reproduce, modify, distribute, sell, lease, decompile, or create derivative works from the Platform except where expressly permitted by us or by applicable law.

15. Rankings, Scores, Search Results, and Analytics

The Platform may display ratings, review counts, rankings, search results, analytics, summaries, labels, or other reputation indicators. These may be generated using user content, business information, public data, moderation signals, algorithms, or operational criteria.

We may change how rankings, scores, search, recommendations, summaries, or analytics are calculated or displayed. We do not promise that any business, review, reply, or profile will appear in a particular position, receive a particular visibility level, or maintain a historical score.

16. Privacy, Cookies, Third-Party Services, Availability, and Liability

We process personal data in accordance with our Privacy Policy and Cookie Policy. Where business customers provide personal data to us, the parties will act in the roles described in the applicable privacy terms or data processing agreement and must comply with GDPR, UK GDPR, and other applicable data protection laws.

The Platform may integrate with third-party services such as payment processors, hosting providers, analytics tools, email providers, authentication providers, maps, social networks, or external websites. Third-party services are governed by their own terms and privacy practices.

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we exclude liability for indirect, incidental, special, punitive, exemplary, or consequential losses, loss of profits, revenue, goodwill, data, business interruption, or losses arising from reliance on user-generated content. Nothing in these Terms excludes liability where exclusion is unlawful.

17. Suspension, Termination, and Indemnity

You may stop using the Platform at any time. We may suspend or terminate accounts, access, submissions, business tools, or paid services if you breach these Terms, fail to pay fees, misuse the Platform, create risk for others, or expose us to legal, security, operational, or reputational risk.

Upon termination, your right to use the Platform ends immediately, but provisions that by their nature should survive will continue, including content licences, payment obligations, intellectual property, liability, indemnity, dispute resolution, and legal compliance.

To the maximum extent permitted by law, you agree to indemnify GUARDOPINION LTD and its directors, officers, employees, contractors, and agents from claims, losses, liabilities, damages, costs, and expenses arising from your breach, User Content, misuse of the Platform, violation of law, or infringement of third-party rights.

18. Governing Law, Jurisdiction, and Contact

These Terms and any dispute or claim arising from or relating to them, the Platform, or our services are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory consumer protection law gives you rights in another jurisdiction.
